Section 1

Acceptance of Terms

By accessing, browsing, or using the ElevateMD Clinic website, patient portal, telehealth platform, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "Patient," or "you") and RegenHairSolutions LLC dba ElevateMD Clinic ("ElevateMD," "we," "us," or "our").

If you do not agree to these Terms, you must not access or use the Services. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are accessing the Services on behalf of another individual, you represent that you have the legal authority to bind that individual to these Terms.

Section 2

Description of Services

ElevateMD Clinic provides physician-directed telehealth services focused on longevity medicine, hormone optimization, and wellness therapies for patients located in the state of Florida. Our Services include, but are not limited to:

• Physician consultations via telehealth (video and/or asynchronous communication)
• Clinical evaluation and medical history review
• Prescription recommendations based on physician assessment
• Ongoing monitoring and follow-up consultations
• At-home laboratory testing coordination
• Community resources, educational content, and wellness coaching

All medications prescribed through ElevateMD are compounded by independently licensed 503A pharmacies under physician prescription. Treatment options may include NAD+ injections, Sermorelin, peptide therapy, injectable vitamins, and other physician-approved protocols as determined by your treating physician.

ElevateMD does not guarantee any specific medical outcome. All treatment plans are individualized and subject to physician approval based on clinical evaluation. Services are available exclusively to patients located in Florida at the time of consultation.

Section 3

User Accounts

To access certain features of the Services, you may be required to create an account through our patient portal. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration and in all medical questionnaires
• Maintain and promptly update your account information to keep it accurate, current, and complete
• Maintain the confidentiality of your account credentials, including your password and any access codes
• Accept responsibility for all activities that occur under your account
• Notify ElevateMD immediately of any unauthorized use of your account or any other breach of security

ElevateMD reserves the right to suspend, deactivate, or terminate your account at any time if we reasonably believe that you have violated these Terms, provided inaccurate medical information, engaged in fraudulent activity, or for any other reason at our sole discretion. You may not transfer, assign, or share your account with any other person.

Section 4

Telehealth Consent and Limitations

By using the Services, you acknowledge and consent to the following:

• Telehealth involves the delivery of healthcare services using electronic communications, information technology, or other means between a physician and a patient who are not in the same physical location
• The information transmitted may include medical history, physical examination findings, laboratory results, diagnoses, and treatment recommendations
• Telehealth consultations have inherent limitations, including the inability to perform a physical examination, and your physician will determine whether telehealth is appropriate for your clinical needs
• Technical difficulties or failures may occur that could interrupt or prevent the delivery of telehealth services
• All telehealth interactions are documented in your medical record and protected under applicable privacy laws, including HIPAA

Emergency Disclaimer: ElevateMD services are NOT intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. ElevateMD does not provide emergency medical services.

You retain the right to refuse or withdraw consent to telehealth services at any time without affecting your right to future care or treatment. ElevateMD does not prescribe controlled substances during initial consultations and reserves the right to decline prescribing any medication at the physician's sole clinical discretion.

Section 5

SMS Communications (A2P 10DLC)

5.1 SMS Use Cases

By providing your mobile phone number and opting in to receive text messages from ElevateMD Clinic, you consent to receive SMS and MMS messages related to the following use cases:

• Appointment reminders and scheduling confirmations
• Treatment plan updates and care coordination
• Lab result notifications and follow-up instructions
• Prescription status and shipment tracking updates
• Post-treatment care instructions and wellness tips
• Educational content related to longevity medicine and wellness
• Promotional offers, membership updates, and new service announcements
• Account notifications, billing reminders, and payment confirmations
• Medication reorder reminders and subscription renewal notices

Message frequency varies. You may receive between 1 and 20+ messages per month depending on your treatment plan, account activity, and communication preferences.

5.2 Age Restriction

You must be 18 years of age or older to opt in to ElevateMD SMS communications. By opting in, you confirm that you are at least 18 years old.

5.3 Opt-Out

You may opt out of receiving SMS messages from ElevateMD at any time using any of the following methods:

• Reply STOP: Reply STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any message received from ElevateMD
• Email: Send an opt-out request to [email protected]
• Phone: Call (786) 574-2428 to request removal from SMS communications

Upon opting out, you will receive a one-time confirmation message and will no longer receive SMS messages from ElevateMD unless you re-opt in. Opting out of SMS communications will not affect the delivery of your medical services.

5.4 Message and Data Rates

Standard message and data rates may apply to SMS messages sent and received. ElevateMD is not responsible for any charges incurred by your mobile carrier. Contact your mobile service provider for details about your messaging plan and any applicable fees.

5.5 Carrier Liability Disclaimer

Mobile carriers are not liable for delayed or undelivered messages. ElevateMD makes no guarantee that SMS messages will be delivered on time or at all, as delivery is dependent on your mobile carrier, network availability, and device compatibility. T-Mobile, AT&T, Verizon, and other carriers are not responsible for the content or accuracy of any SMS messages sent by ElevateMD.

5.6 SMS Terms

By opting in to SMS communications, you agree to these SMS terms as part of these overall Terms of Service. ElevateMD reserves the right to modify the SMS program, including message frequency and content types, at any time. Your consent to receive SMS messages is not a condition of purchasing any goods or services from ElevateMD.

Section 6

Payment and Billing

All pricing for ElevateMD services is displayed on our website and communicated prior to purchase. By purchasing any service or subscription, you agree to the following:

• Cash-Pay Model: ElevateMD operates on a cash-pay basis and does not accept insurance. You are responsible for the full cost of all services at the time of purchase or as specified in your subscription terms.
• Transparent Pricing: All fees are clearly displayed. There are no hidden fees, administrative surcharges, or undisclosed costs associated with your treatment plan.
• Auto-Renewal: Subscription-based services (including membership plans and recurring treatment protocols) will automatically renew at the end of each billing cycle unless canceled prior to the renewal date. You will be charged the applicable renewal rate unless you cancel through the patient portal, by email, or by phone.
• Refund Policy: Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Please review the Refund Policy for details on eligibility, timeframes, and procedures.
• Late Payments: Failure to make timely payments may result in suspension of services, account holds, or referral to collections. ElevateMD reserves the right to charge late fees or interest on overdue balances to the extent permitted by applicable law.

Section 7

Intellectual Property

All content, materials, trademarks, logos, text, graphics, images, videos, software, and other intellectual property displayed on the ElevateMD website and patient portal are the exclusive property of RegenHairSolutions LLC and are protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any content from the Services without the prior written permission of RegenHairSolutions LLC, except as follows:

• You may temporarily store copies of materials in RAM incidental to your accessing and viewing the content
• You may store files that are automatically cached by your web browser for display enhancement purposes
• You may print or download one copy of a reasonable number of pages for your own personal, non-commercial use

Section 8

Limitation of Liability

Disclaimer of Warranties: The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ElevateMD does not warrant that the Services will be uninterrupted, timely, secure, or error-free.

Medical Disclaimer: The information provided through the Services is for informational purposes only and does not constitute medical advice. All treatment recommendations are made by licensed physicians based on individual clinical evaluation. ElevateMD does not guarantee any specific health outcome, and individual results may vary. The Services are not intended to diagnose, treat, cure, or prevent any disease outside of physician-directed protocols.

Limitation of Damages: To the fullest extent permitted by applicable law, in no event shall RegenHairSolutions LLC, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall the aggregate liability of RegenHairSolutions LLC for all claims arising out of or relating to the use of the Services exceed the total amount paid by you to ElevateMD during the twelve (12) months immediately preceding the event giving rise to the claim.

Section 9

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the state or federal courts located in Sarasota County, Florida, and you consent to the personal jurisdiction of such courts.

Any claim or cause of action arising out of or related to the use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

Section 10

Changes to Terms

ElevateMD reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Changes will be effective immediately upon posting the revised Terms on the ElevateMD website. The "Last Updated" date at the top of these Terms will be revised accordingly.

Your continued use of the Services following the posting of revised Terms constitutes your acceptance of and agreement to the changes. It is your responsibility to review these Terms periodically for updates. If you do not agree to the modified Terms, you must discontinue use of the Services.
